ARTICLE 1 – APPLICABILITY OF TERMS AND CONDITIONS

These terms and conditions apply to every offer and every agreement between Draper Tools Europe B.V., hereinafter referred to as "Draper Tools Europe," and a buyer to whom Draper Tools Europe has declared these terms and conditions applicable.

ARTICLE 2 – QUOTATIONS

All offers are always non-binding. An offer is valid for the period stated in the offer. After the expiry of this period, the non-binding offer automatically expires and can no longer be invoked.

Agreements are only concluded after the buyer's order and/or assignment has either been confirmed in writing by Draper Tools Europe, or the buyer has signed the quotation or order confirmation for approval and returned it to Draper Tools Europe, or has actually been executed by Draper Tools Europe.

The information and/or images contained in Draper Tools Europe's catalogs, price lists, brochures, and other general documents are indicative. The buyer cannot derive any rights from them.

The prices stated in a quotation are exclusive of VAT and transport costs, unless otherwise indicated.

ARTICLE 3 – TECHNICAL REQUIREMENTS

The range of workshop equipment supplied by Draper Tools Europe is CE certified and, like the other items to be supplied, meets the technical requirements described in the quotation within the usual tolerances.

ARTICLE 4 – WARRANTY

Draper Tools Europe guarantees that the items it supplies are free from design, material, and manufacturing defects for a period of two years after delivery.

If the item exhibits a design, material, or manufacturing defect, the buyer is entitled to repair. Draper Tools Europe may choose to replace the item if repair is objectionable. The buyer is only entitled to replacement if repair is not possible.

The warranty does not apply if damage is the result of improper handling. Incorrect handling includes, but is not limited to: damage resulting from failure to observe the user manual, damage resulting from normal wear and tear, overloading, and improper use.

ARTICLE 5 – DELIVERY AND DELIVERY TIME

Delivery takes place ex works or warehouse of Draper Tools Europe.

Transport will only be at Draper Tools Europe's expense if this is explicitly stated in the quotation or price list. The risk of loss and/or damage, theft, etc., of the delivered goods during transport is borne by Draper Tools Europe.

The buyer is obligated to take delivery of the purchased goods at the time they are delivered or at the time they are made available to them in accordance with the agreement. If the buyer refuses to take delivery or fails to provide information or instructions necessary for delivery, the goods will be stored at the buyer's risk. In that case, the buyer will be liable for all additional costs, including storage and additional transport costs.

The stated delivery times are not final deadlines, unless expressly agreed otherwise. In the event of late delivery, the buyer must notify Draper Tools Europe in writing of the default, granting Draper Tools Europe a reasonable period to comply. If the delivery time is exceeded, except in the event of force majeure, Draper Tools Europe is only obligated to compensate the buyer for damages if the buyer can be legally held responsible for the late delivery. Exceeding the agreed delivery time only entitles the buyer to terminate the agreement after the buyer has first notified Draper Tools Europe in writing, by registered letter, that it is in default, granting Draper Tools Europe a reasonable period to fulfill its delivery obligation.

Draper Tools Europe is permitted to deliver the goods sold in installments. If the goods are delivered in installments, Draper Tools Europe is authorized to invoice each installment separately.

ARTICLE 6 – RESERVATION OF OWNERSHIP

All goods delivered or to be delivered to the buyer remain the property of Draper Tools Europe until the buyer has fulfilled all obligations, including those relating to fines, costs, and compensation, arising from all (purchase) agreements concluded with Draper Tools Europe.

Goods delivered by Draper Tools Europe that are subject to the retention of title may only be resold in the normal course of business. Furthermore, the buyer is not authorized to pledge the goods or establish any other right to them.

ARTICLE 7 – PAYMENT

Payment must be made within 30 days of the invoice date, unless otherwise agreed in writing.
